The Bite:

SpaceX announced Tuesday it has secured the option to acquire the AI coding startup Cursor for $60 billion later this year, or pay $10 billion for a joint AI development collaboration.

The deal preempted Cursor's planned $2 billion funding round at a $50 billion valuation, which was days from closing with Andreessen Horowitz, Thrive, Nvidia, and Battery Ventures.

SpaceX, merged with Musk's xAI since February, is delaying the acquisition until after its summer IPO to avoid updating confidential financial filings.

Microsoft had also explored a bid for Cursor but chose not to proceed.

Cursor is the tool that millions of developers choose specifically because it’s independent, model-agnostic, and not owned by the companies whose APIs it routes.

Now it’s just handed Elon Musk the keys in exchange for compute it couldn't afford on its own.

The $2 billion round that was days from closing wouldn't have gotten Cursor to break even on cash flow.

That's the part nobody's saying out loud: the most popular coding tool in the world was structurally dependent on raising more money it didn't have yet.
While burning through compute it couldn't sustain.

SpaceX showed up with data centers in Mississippi and Tennessee and a number large enough to make the math stop mattering.

But the risk isn't just for Cursor users.

Every independent dev tool, such as Windsurf (gone to Google), Replit, Codeium… are now either an acquisition target or a company slowly running out of runway in a market where compute access is the real product.
