The Bite:

Nvidia has agreed to acquire Hugging Face for $12.93 billion.

Hugging Face hosts more than 3 million models and 500,000 datasets for over 18 million developers.

Nvidia says the platform will stay open and that its own compute will not be required to build or deploy there.

The deal is expected to close in the first half of 2027, subject to regulatory approval.

Snacks:

• That’s Nvidia's second-largest deal ever, behind the roughly $20 billion for Groq assets in late 2025.

• More than 200,000 companies use Hugging Face to discover, evaluate and deploy models.

• Nvidia has published over 500 models and 250 open datasets on the platform.

• Its Groq, Poolside and Enfabrica deals were structured as licenses and investments, not acquisitions.

• Nvidia VP Justin Boitano called Hugging Face a "deconcentration platform" in a press Q&A.

• Nvidia's $40 billion Arm bid deal collapsed in 2022 under FTC, UK and EU pressure.

Why it Bites:

Nvidia has been buying the whole AI stack without filing a single merger notice.

Groq became a $20 billion technology license.
Poolside became a license plus equity.
Enfabrica became an arrangement.

Same capability, different paperwork.
No premerger review.

Hugging Face is the one that can't be dressed up. You can't license a community.

So for the first time, Nvidia has to actually ask.

Which explains why the promises are already arriving. Such as:

• Jensen's post promises Nvidia compute will not be required.

• His VP calling Hugging Face a "deconcentration platform."

• Nvidia coauthoring an open letter on the importance of open weights right before buying the place open weights live.

All of it is true today, and none of it explains why you’d pay $12.93 billion for the shelf your own product sits on.

Regulators killed the Arm bid on exactly this shape: the platform everyone depends on shouldn't belong to one of the companies they depend on it to reach.

Nvidia now has until sometime in 2027 to argue this one is different, and every promise it makes between now and then is a condition somebody would have to write down first.

The neutrality isn't a promise. It's the down payment.
