💼 Told The SEC What We All Knew

The Bite:

Oracle's global workforce fell to 141,000, down from 162,000 a year earlier.

That's roughly 21,000 jobs gone in twelve months, a 13% reduction.

The disclosure came in the company's 10-K, the annual financial report that all publicly traded companies are required to file with the Securities and Exchange Commission (SEC).

Unlike earnings calls or press releases, 10-K language is reviewed by lawyers and carries legal liability, making it the most scrutinized document a company produces each year.

Oracle's filing stated that AI adoption across its operations has resulted, and may continue to result, in workforce reductions.

It is the first time a mega-cap tech company has linked AI adoption to workforce reductions in a regulatory filing rather than an earnings call.

Restructuring costs hit $1.84 billion in fiscal 2026, up from $374 million the year before. Capital expenditure jumped 162% to $55.7 billion, almost entirely directed at AI cloud and data center buildout.

Why it Bites:

Every CEO in tech has spent the last two years saying some version of the same thing: “AI complements workers, it doesn't replace them.”

The framing shows up in earnings calls, keynote slides, LinkedIn posts.
It's the company line, industry-wide.

Oracle just broke ranks. Not on a podcast, not in a press release.
In a securities filing.

That matters because SEC language carries legal weight.

Oracle was telling regulators and investors something the rest of the industry has been careful to avoid putting on paper.

And Oracle isn't unique in what it did, but it’s the first to stop pretending that the AI spending and the layoffs are unrelated.

The hypocrisy runs deeper than language.

Oracle spent $55.7 billion building AI data centers in the same fiscal year it spent $1.84 billion paying people to leave.

Larry Ellison told analysts the company would build more cloud infrastructure than all its competitors combined.

Nobody asked him how many more people would be replaced to fund it.

But here’s what changes:

Wall Street has been modeling AI capex as pure growth spend.
And Oracle just told investors it's also a substitution line: money in, people out.

Analysts covering every enterprise company now have to ask the same question on the next earnings call, and the answer is already in the filing.
